Terms and Conditions of Use for the "Pro Sure" Portal

Introduction and Acceptance of Terms
Welcome to the "Pro Sure" portal (hereinafter referred to as "the Portal"). Please read these Terms and Conditions of Use ("the Terms") very carefully and in their entirety before using the application, the website, or any of the services we offer. These Terms constitute a legally binding agreement between you and "Pro Sure Portal LLC", the company registered in Dubai, United Arab Emirates.
By using the Portal, registering to create an account, or accessing any of its content or services, you acknowledge, represent, warrant, and agree that you have read, fully understood, and unconditionally agree to be bound by these Terms without any reservation. If you do not agree to any of these Terms, you must immediately cease using the Portal and its services.
Definitions
For the purposes of these Terms, the following terms shall have the meanings specified below unless the context requires otherwise:
- Portal: Refers to the "Pro Sure" mobile application (available on Google Play and App Store), the website www.prosureapp.com, and all associated technical services and content provided by "Pro Sure Portal LLC".
- Company: Refers to "Pro Sure Portal LLC", the legal entity that owns, operates, and supports the Portal.
- User: Any natural or legal person who accesses, uses, or registers on the Portal.
- Seller: Any user (company, individual, or artisan) who registers on the Portal for the purpose of displaying and selling products or offering services.
- Buyer: Any user who accesses the Portal for the purpose of browsing products and services and purchasing them from Sellers.
- Content: Includes all text, images, graphics, videos, logos, trademarks, descriptions, and any other materials published or uploaded on the Portal by the Company or Users.
- Commercial Transaction: Any sale and purchase of products or services that occurs directly between a Seller and a Buyer as a result of communication initiated via the Portal.
- Monthly Subscription: The fee paid by the Seller to the Company in exchange for the right to access the Portal's technical tools and services to display and manage their products and services for a period of one month.
1. Nature of the Portal and Scope of Service
1.1. The Portal as a Purely Digital Display Interface The Company affirms that the "Pro Sure" portal is a multi-vendor electronic portal that functions as a digital display facade and a virtual marketplace ("Digital Mall"). It does not, under any circumstances, aim to be a party to any commercial transaction. The primary function of the Portal is to provide a secure and integrated technical environment that allows accredited Sellers to professionally display their products and services, and to enable Buyers to explore these offerings and contact Sellers directly. The Portal is purely an electronic medium for displaying products, stores, and service providers to customers and has no role in payment processes, not even as an intermediary.
1.2. Scope of Products and Services Displayed The Portal allows for the display of a wide and diverse range of categories, including but not limited to:
- Fashion: Women's, men's, and children's clothing, accessories.
- Beauty & Care: Cosmetics, perfumes, skincare, haircare products.
- Electronics: Electronic devices, phones, computers, and their accessories.
- Home & Kitchen: Furniture, decor, home appliances, kitchenware.
- Sports & Recreation: Sports equipment, athletic wear, camping gear.
- Stationery & Office: Writing supplies, educational toys, office essentials.
- Supermarket: Food products, beverages, daily consumer goods.
- Industrial & Commercial: Equipment, machinery, raw materials.
- Pets: Pet care supplies, food, toys.
- Automotive: Car parts, accessories, care products.
- Handicrafts & Artisanry: Handmade products, arts, custom gifts.
- Logistics Services: Display of shipping and delivery companies' services.
- Diverse Services: This broad category includes services such as home and car maintenance, salons, and other services that can be offered to consumers.
1.3. Exclusion of Liability for Transactions (Fundamental Clause) The Company is not a party to the commercial transactions that occur between Sellers and Buyers. Accordingly, the Portal explicitly states and confirms the following:
- Does Not Own or Sell: The Company does not own the products or services offered, nor does it purchase or resell them. The Portal is merely a display interface.
- No Control Over Quality: The Company does not control the quality, safety, compliance with specifications, or legality of the products. The responsibility for verifying these matters lies solely with the Buyer before completing a purchase.
- No Involvement in Payments: The Company does not receive any money from the Buyer, nor does it pay money to the Seller, nor does it act as a financial intermediary or payment processor. All financial and payment transactions occur directly and independently between the Seller and the Buyer through channels they mutually agree upon (e.g., cash on delivery, bank transfer, etc.).
- No Involvement in Shipping or Delivery: The Company does not provide shipping, packaging, storage, or delivery services. The Seller is solely responsible for determining shipping costs, secure packaging, and delivering the product to the Buyer at the agreed-upon address.
- Does Not Provide Warranties: Any warranties or return/exchange policies are a direct agreement between the Seller and the Buyer, and the Company is not responsible for their implementation, enforcement, or for resolving disputes arising from them.
2. Registration and User Accounts
2.1. General Registration Terms To register on the Portal, you must provide accurate, current, and complete information as required in the registration form. You undertake to keep your account credentials (username, password) confidential and are fully responsible for all activities performed under your account. You must notify the Company immediately of any unauthorized use of your account.
2.2. Specific Terms for Sellers To be able to display and sell products or services on the Portal, Sellers must comply with the following conditions:
- Trade License: Companies and commercial businesses must possess a valid trade license registered in the United Arab Emirates or their country of residence, authorizing them to conduct the advertised business activity. The Seller undertakes to provide a copy of the license upon request.
- Artisans and Individuals: Individuals and artisans are permitted to sell on the Portal provided they submit proof of identity documents (such as a passport and UAE ID card) or any valid professional license. This procedure is essential to prevent any fraudulent activity and ensure the credibility of Sellers.
- Accuracy of Information: All information related to the Seller (store name, logo, contact information, activity description) must be accurate and not misleading to Buyers.
2.3. Specific Terms for Buyers Any person of legal age is permitted to register as a Buyer. The Buyer is responsible for the accuracy of the shipping and contact information they provide to ensure correct receipt of products.
3. Subscription Model and Fees
3.1. Monthly Subscription for Sellers The Portal's sole revenue model is the monthly subscription paid by Sellers. This subscription grants the Seller the right to access the following technical tools and services:
- Creation and management of a private virtual store page with the ability to upload a store logo.
- Display of an unlimited number of products and services (subject to the subscription plan).
- Use of detailed product description tools with customizable fields (e.g., specifications, uses, etc.).
- Inventory management, where the system automatically hides out-of-stock products.
- Creation and management of horizontal promotional images within the app to showcase discounts or business information.
- Access to tools for creating discounts and promotional offers (quick, general, periodic, special occasion) with automated start and end dates.
- Communication with potential Buyers through the available channels on the Portal.
3.2. Cancellation and Refund Policy (Amended Clause) A Seller has the right to cancel their monthly subscription at any time. Upon cancellation of the subscription by the Seller, the following refund policy will be applied:
- The Seller shall receive a monetary refund equivalent to 80% of the value of the remaining days in their current subscription.
- The "value of remaining days" is calculated on a daily basis (total monthly subscription fee divided by 30 days), and then the 80% percentage is applied to that amount.
- The refund will be processed to the original payment method used for the subscription within a period of up to 14 business days from the date of cancellation confirmation.
- The refunded subscription is not eligible for any discounts or promotional offers that may have been applied to the original subscription.
3.3. No Commissions The Company reiterates that it does not charge any commission, percentage, or additional fees on any sales transaction that occurs between the Seller and the Buyer. The full profit from the sale goes directly to the Seller.
3.4. Right to Amend Prices and Services The Company reserves the full right to review and amend the monthly subscription fees and/or the specifications of the services provided at any time, at its sole commercial discretion. Sellers will be notified of any material changes via the Portal or their registered email address a reasonable period before the change takes effect.
4. Seller Responsibilities and Obligations
As a Seller on the Portal, you acknowledge and undertake to comply with the following responsibilities:
- Accuracy of Content: Ensure that all product descriptions, images, prices, and specifications are accurate, truthful, and fully represent the actual product or service being offered.
- Legal Compliance: Comply with all laws and regulations in effect in the United Arab Emirates and your country of residence, including consumer protection, intellectual property, and customs laws.
- Full Transaction Management: Manage the entire sales lifecycle, from communicating with the Buyer, confirming the order, collecting payments, packaging, shipping, to delivery.
- Logistics: Determine the shipping company, delivery method, and associated costs, and clearly inform the Buyer. The Seller is solely responsible for any issues related to shipping or delivery.
- Returns and Warranties: Establish clear policies for returns, exchanges, and warranties, adhere to them, and resolve any disputes arising from them directly with the Buyer.
- Non-Fraudulent Conduct: Refrain from any fraudulent or misleading practices, such as selling counterfeit or adulterated products, or publishing false information.
- Intellectual Property: Ensure that the products and content you display do not infringe upon the intellectual property rights (copyright, trademarks, patents) of any third party.
5. Prohibited Content and Acceptable Conduct
It is strictly forbidden for all Users to use the Portal for any of the following purposes:
- Displaying or selling any products or services that are illegal or prohibited in the United Arab Emirates.
- Publishing any content that promotes hatred, violence, discrimination, or insults any religion, nationality, or ethnicity.
- Engaging in any fraudulent activities, phishing, malware, or sending unsolicited messages (Spam).
- Attempting to harm the Portal technically, breaching its systems, or interfering with its operations.
- Impersonating another person or entity.
- Publishing any content that violates the intellectual property or privacy rights of any third party.
The Company reserves the absolute right, at its sole discretion, to remove any violating content and/or suspend or terminate the account of any User who violates these Terms without any obligation to provide prior notice.
6. Intellectual Property
6.1. Ownership of Content The "Pro Sure" trademark, its logo, and all original content created by the Company (designs, texts, graphics, code) are the exclusive intellectual property of the Company and are protected by copyright and trademark laws.
6.2. License Granted by the User By uploading or publishing any content on the Portal, you grant the Company a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, display, and distribute this content for the purposes of operating, promoting, and improving the Portal. You warrant that you own all necessary rights to grant this license.
7. Data Privacy and Protection
We at "Pro Sure" are committed to protecting your privacy. Your data is collected and processed in accordance with our Privacy Policy, which forms an integral part of these Terms.
8. Limitation of Liability and Indemnification
8.1. Limitation of Liability To the maximum extent permitted by the laws of the United Arab Emirates, the Company, its directors, employees, or agents shall not be liable to you or any third party for any indirect, incidental, special, consequential, or punitive damages, or any losses (including loss of profits, revenue, data, or business opportunities) arising from or related to your use of the Portal.
8.2. Indemnification You agree to indemnify, defend, and hold harmless the Company from any claims, damages, or costs (including attorneys' fees) arising from or related to your use of the Portal, any violation of these Terms by you, any violation of third-party rights by you, or any content you upload or publish on the Portal.
9. Force Majeure
The Company shall not be liable for any delay or failure in performing any of its obligations under these Terms if such delay or failure is due to a cause beyond its reasonable control ("Force Majeure"), including but not limited to: natural disasters, wars, terrorism, riots, government orders, internet or network failures, or strikes.
10. Termination of Terms and Accounts
10.1. Termination by User You may terminate your account at any time. Upon cancellation, the subscription refund policy outlined in Section 3.2 will be applied.
10.2. Termination by Company The Company reserves the right to suspend or terminate your account immediately without prior notice if it determines, at its sole discretion, that you have violated these Terms or engaged in behavior that harms the Portal or its users.
11. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates. Any dispute arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Dubai, United Arab Emirates.
12. Amendments to the Terms
The Company reserves the right to amend these Terms at any time. Any amendments will be posted on this page with an updated "Last Updated" date. Your continued use of the Portal after the amendments are published constitutes your express acceptance of them.
13. General Provisions
- Communication with Portal Manager: The Portal provides a direct communication channel between Users (Sellers and Buyers) and the Portal manager to address technical inquiries or report violations.
- Language: The Portal is available in both Arabic and English. In case of any discrepancy between the two versions, the Arabic version shall prevail.

- Severability: If any provision of these Terms is found to be invalid or unenforceable, it will be replaced with a valid and enforceable provision that reflects the original intent, while the remaining provisions remain in full force and effect.
- Entire Agreement: These Terms and the Privacy Policy constitute the entire agreement between you and the Company regarding your use of the Portal and supersede all prior agreements.
By using the "Pro Sure" portal, you acknowledge that you have read, understood, and agreed to abide by all the terms and conditions stated above.
